GENERAL DESCRIPTION/MISSION

The incumbent of this position is responsible for protecting the commercial interests of OSI Geospatial Inc. and its subsidiaries Offshore Systems Ltd., Mapcon Mapping Ltd., and Mapcon Mapping Inc. by ensuring that any agreements contemplated by the Company do not expose the Company to unacceptable levels of risk and that they accurately and fairly reflect the rights and obligations of the Company. Agreements can be expected to range from simple purchase orders to multi-year multi-million dollar international contracts and from basic non-disclosure agreements to complex international teaming, distributorship, representative and software licensing agreements and corporate merger and acquisition agreements.

 

MAIN RESPONSIBILITIES

  • Provide support and advice to management on commercial and related matters
  • Provide support and advice on commercial matters to Accounting, Sales, Operations, Production, Engineering and other departments
  • Review Requests for Proposal/Quotation and similar documents, provide commercial risk assessment and recommended responses to contractual terms and conditions
  • Assist in the preparation of proposal documentation
  • Draft and/or review/negotiate agreements and amendments (e.g. in scope or specification) ensuring that they accurately reflect the intent of the parties, are clear and unambiguous, and are fair and reasonable
  • Ensure that contractual risks are clearly documented and brought to management’s attention
  • Identify alternative approaches and/or mitigation strategies to minimize commercial risks
  • Support/participate/lead overall agreement negotiations as appropriate
  • Ensure that agreements are approved at the appropriate level prior to execution
  • Ensure timely processing of agreements through internal review and approval process
  • Execute agreements on behalf of the Company as delegated
  • Ensure that management and any affected departments/personnel understand the Company’s rights and obligations under an agreement
  • Interpret contract and other agreement provisions to other staff and provide guidance on options or alternative approaches
  • Prepare, implement and maintain corporate procedures for administration of contracts and other agreements
  • Maintain records and files of all agreements (except employment agreements maintained by HR department), including safe storage of original documents
  • Provide direction, training  and support to other personnel in the department
  • Liaise with Corporate Finance department to ensure that all required intra-corporate agreements are in place
  • As Assistant Company Security Officer, reporting to the Company Security Officer, assume responsibility for all security related activities
  • As a Designated Official under the Controlled Goods Program, assume responsibility for all Controlled Goods matters
  • Ensure Company compliance with the Export and Import Permits Act
  • Maintain Company registration under the Joint Certification Program
  • Liaise with Company’s insurance brokers on contractual obligations with respect to insurance and advise senior management of actual or forecast insurance issues
  • Advise management on intellectual property matters including copyright, trademarks, patents, etc.
  • Maintain records of Company’s patents and trademarks and liaise with outside consultants and authorities to ensure that intellectual property rights are properly registered and maintained

QUALIFICATIONS & SKILLS/COMPETENCIES

  • Education: A post-graduate degree in law, business, science or related field
  • Experience: Industry knowledge based on at least ten years performing formation, negotiation and administration activities for contracts and subcontracts ranging from simple standard agreements to complex, multi-million dollar system development and integration agreements in both government and commercial, domestic and international environments. Familiarity with typical practices related to: software and hardware product development; licensing; quality; sales arrangements including marketing, distribution and representative arrangements; cooperation and teaming arrangements; consulting arrangements; customer support, warranty; long term support; intellectual property protection; and the conduct of domestic and international business pursuits.
  • Skills: Excellent judgment and negotiation skills; ability to work independently or in a team environment; ability to develop cooperative relationships and work effectively with senior management, peers, subordinates, customers, vendors, subcontractors, etc.; excellent written and spoken English; excellent computer skills including good familiarity with Microsoft Office suite of products; ability to organize and implement effective procedures.
  • Other: Working knowledge of: domestic and international tendering and contract law; US, Canadian and other government contracting practices including SACC, FARS, DFARS; DEFCONS, etc.; intellectual property rights; international transportation and customs clearance practices; import and export laws and regulations including CGRP, EICA, ITAR company policies, products, competencies, strategies, and existing agreements; must be eligible for a Canadian security clearance; some domestic and international travel may be required.
